Privacy Policy

Healthier Minds is devoted to safeguarding our customers and employee private information and ensuring the highest level of confidentiality of records. This Privacy Policy describes the information we collect, how we use it, and the standards and procedures in place to safeguard your personal nonpublic information. Healthier Minds, its personnel, and its affiliates strictly adhere to this Privacy Policy and the security practices and procedures described herein to ensure the confidentiality of customer information. It is Healthier Minds policy to comply with all federal and state laws and regulations relating to the privacy of our customers’ private information (PI) and private health information (PHI). We receive a number of different types of information about you, including: The information that’s required when you sign up for the site, as well as the information you choose to share. If you are coming to the site through an employer or insurer payor such as an Employee Assistance Program (EAP) then there is additional information collected by these Parties. This information is typically collected to confirm your eligibility with the EAP or network benefit administrator and is not shared with your Provider (who will collect your contact information separately). Further, your Employer or the Employer of the subscriber of your benefits will not be provided this information (you likely already gave them similar information in your employee file unless you are a family member of an eligible employee). Except as permitted by law or as otherwise described below, Healthier Minds does not disclose any PI/PHI about its customers, or former customers, or employees, to anyone. Healthier Minds does not sell lists or customer information. Information Healthier Minds Collects for Customers Healthier Minds collects, retains, and uses PI/PHI from customers to include the following:

  • The information that’s required when you sign up for the site, as well as the information you choose to share.
  •  Required information such as your name, email address, birthday, and gender. We use return email addresses to answer the email we receive. Such addresses are not used for any other purpose and are not shared with outside parties.
  • Usernames and User IDs, which are a way to identify you on Healthier Minds. A User ID is a string of numbers and a username generally is some variation of your name.
  •  “Public Information” which means the information you choose to make public, as well as information that is always publicly available.
  • Information posted to a group chat or moderated session and information kept within a one on one session.
  • “Contact Information” is personal information and or family/friend/relation that Healthier Minds stores confidentially for your Therapist to access in case of an emergency or mental health crisis.
  • Information Healthier Minds receives on forms, including, but not limited to, identifying information such as address, telephone number, e-mail address related to customer projects;
  •  Banking information for billing purposes; such as account # and routing information for invoicing purposes Information Healthier Minds Collects for Employees and Sub-Contractors Federal law requires us to obtain, verify, and record personal information – such as your name, address and date of birth – in order to confirm your identity, social security number and banking information. Healthier Minds collects, retains, and uses PI from employees and subcontractors including the following:
  • Information Healthier Minds receives on applications or other forms, including, but not limited to, identifying information such as address, telephone number, e-mail address, social security number, date of birth, mother’s maiden name, medical history;
  • Federal Tax ID #;
  • Medical records;
  • Investment information;
  •  Background security checks Information Healthier Minds may share.

Healthier Minds is a “DBA” used by Healthier Minds Inc. who runs the site and keeps the Data.We keep your information confidential except where disclosure is required or permitted by law (for example to government bodies and law enforcement agencies or during an emergency circumstance as judged by your Therapist working with local authorities). Generally, we only use your information within our company. However, sometimes we use third parties to process your information (for example as credit card payment providers). We require these third parties to comply strictly with its instructions and we require that they not use your personal information for their own business purposes. The Uses of the Collected Data by Healthier Minds Healthier Minds uses non-identifying and aggregate information to better design our Web site and to use in research and trend analysis. For example, we may tell an advertiser that X number of individuals visited a certain area on our Web site, or that Y number of men and Z number of women filled out a site survey or form, but we would not disclose anything that could be used to identify those individuals. We only provide data to our partners, if any, after we have removed your name and any other personally identifying information from it, or have combined it with other people’s data in a way that it no longer personally identifies you. Healthier Minds uses non-identifying (De-Identified or “Safe Harbor” form) and aggregate information about responses to the clinical outcome assessments (personal assessments), and the frequency of the utilization of the Healthier Minds service. These efforts enhance program evaluation. The anonymous and aggregated data also may be published through various media platforms/academic journals. No personal identifying information is tied to the results, and Healthier Minds does not share anything that could be used to identify your account or your private information. From time to time, we may use customer information for new, unanticipated uses not previously disclosed in our privacy notice. If our information practices change at some time in the future we will contact you before we use your data for these new purposes to notify you of the policy change and to provide you with the ability to opt out of these new uses. Healthier Minds stores data only for as long as it is necessary to provide products and services to you and others, including those described above and for legal protections or as required by applicable laws and regulations. Healthier Minds may enable access to public information that has been shared through our services. Healthier Minds may allow service providers to access information so they can help us provide services. IP addresses are used to identify the location of users, the number of visits from different countries and also to block disruptive use; and to analyze and improve the services offered on our website, e.g. to provide you with the most user-friendly navigation experience. Certain information is needed to provide you with services, so we only delete this information after you delete your account. Some forms of processing (sending promotional information, commercial profiling, behavioral advertising, geo-location, etc.) may require the express consent of the User. Specific information may be shown on the pages of the Site in connection with particular services or processing of Data provided by the Site User. Upon request we provide site visitors with access to a description of information that we maintain about them. HealthierMinds.com uses industry-standard encryption technologies when transferring and receiving consumer data exchanged with our site. If you feel that this site is not following its stated information policy, you may contact us at addresses or phone number below. For content that is covered by intellectual property rights, like photos and videos you specifically grant HealthierMinds.com a non-exclusive, transferable, sub-licensable, royalty- free, worldwide license to use any IP content that you post on or in connection with HealthierMinds.com (IP License). This IP License ends when you delete your IP content or your account unless your content has been shared with others, and they have not deleted it. This Paragraph does NOT apply to photos, images or other videos shared ONLY with your Therapist in your private “Room” on the Platform. When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others). Disclosure of Personal Information We do not share nonpublic personal information about our customers (present, former and potential) with anyone, except as required by law, or as follows:

  • To computer services consultants and technicians or other security consultants, in order to ensure the confidentiality and security of customer & employee records;
  • To financial service providers or consultants to carry out requested services, and/or to protect against or prevent actual or potential fraud, unauthorized transactions, claims, or other liability;
  • To independent auditors or consultants in order to carry out institutional risk control;
  • To government or regulatory agencies, including self-regulatory organizations and to comply with a legal summons, court order, subpoena or a similar legal process, audit or investigation;
  • To swap data repositories Protection: How We Protect Personal Information We restrict access to information about you to those employees who need to know that information as part of their job responsibilities. We also educate our employees about the importance of confidentiality and customer privacy through standard operating procedures, special training programs, and our Code of Conduct. We take appropriate disciplinary measures to enforce employee privacy responsibilities. We have developed precautions that comply with federal regulations to ensure the security and confidentiality of customer records and information, to guard against any anticipated threats or hazards to the security or integrity of such records, and to protect against unauthorized access to or use of such records or information which could result in substantial harm or inconvenience to our customers or our employees. Healthier Minds maintains strict information security procedures, including physical, electronic and procedural safeguards, to protect the confidentiality of your information. We conduct semi-annual Risk Privacy Assessments and remediate to update our technology to improve the protection of information storage. We protect nonpublic personal information by
  • Restricting access to customer information to only those personnel for whom the information is necessary;
  • Entering into written confidentiality/non-disclosure agreements with third party service providers for certain disclosures;
  • Maintaining physical, electronic, and procedural safeguards that comply with the relevant laws and regulations; and
  • Conducting a Security Training and Awareness training program to communicate and educate employees about information security policies and procedures in order to make them aware of their roles and responsibilities in safeguarding information resources.
  • Healthier Minds uses firewall barriers and digital certifications to maintain the security of your online session and information.
  • We do not collect any non-public personal information about visitors on our website, unless information is provided to us voluntarily or derived from website navigation and usage of the Healthier Minds website and online platforms.
  • To any person when you authorize such disclosure;

We may gather and analyze information regarding usage of our website, including domain name, the number of hits, the pages visited, previous/subsequent sites visited and length of user session. This information may be gathered by using cookies. Healthier Minds uses cookies and similar technologies to track usage of the website and to address security issues. We may also use cookies to store your preferences relating to use of our website. A cookie is a small amount of data, which often includes a unique identifier that is sent to your computer, tablet, phablet, cell phone or other electronic device (referred to here as a “device”) browser from a website’s computer and is stored on your device’s hard drive. Protecting the Privacy of your fellow Healthier Minds Users During the use of HealthierMinds.com services, you will not send or otherwise post unauthorized commercial communications (such as spam) on HealthierMinds.com. You will not collect users’ content or information, or otherwise access HealthierMinds.com, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission. You will not upload viruses or other malicious code. You will not solicit login information or access an account belonging to someone else. You will not bully, intimidate, or harass any other User. You will not post content that: is hateful, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence. You will not provide any false personal information on HealthierMinds.com, or create an account for anyone other than yourself without permission. You will not create more than one personal profile. Privacy Enforcement Personnel using Healthier Minds information resources in opposition to this policy may be subject to limitations on the use of these resources, suspension of privileges (including internet access), as well as disciplinary and/or legal action, including termination of employment. Employees, contractors, consultants, interns, and all personnel affiliated via third parties sign the Privacy Policy agreement to comply and be governed by this policy and the Healthier Minds Information Security Policies upon hire and again annually. All Employees have background checks performed. All Therapists acting as contractors go through rigorous vetting processes meeting or exceeding national credentialing standards. Copyrights: Healthier Minds and Protecting Other People’s Intellectual Property Rights We respect other people’s rights, and expect you to do the same. You will not post content or take any action on HealthierMinds.com that infringes or violates someone else’s rights or otherwise violates the law. We can remove any content or information you post on HealthierMinds.com if we believe that it violates this Privacy Policy or the Terms of Use on this Site. You will not use our copyrights or any confusingly similar marks, without our written permission. If you collect information from Healthier Minds Users, you will: obtain their consent, make it clear you (and not HealthierMinds.com) are the one collecting their information, and post a privacy policy explaining what information you collect and how you will use it. You will not post anyone’s identification documents or sensitive financial information on HealthierMinds.com. You will not tag Healthier Minds fellow Users or send email invitations to non-users without their consent. Portable Electronic Devices The Healthier Minds Platform is available on a multitude of portable electronic devices. We provide our connection to mobile services for free, but please be aware that your carrier’s normal rates and fees, such as text messaging fees, may still apply. You provide all rights necessary to enable Healthier Minds Users to sync (including through an application) their contact lists with any basic information and contact information that is visible to them on HealthierMinds.com, as well as your name and profile picture. California Consumer Privacy Act (CCPA) Use And Disclosure Of Personal Data Healthier Minds recognizes that California has articulated specific privacy rights of Healthier MindsUsers in that State. California Users should understand that Healthier Minds does not sell User data to third parties. Further, Healthier Minds is a medical records retention company. As such, almost all User data is kept in encrypted storage as a medical record, including all User created transcripts. Sate Law requires Healthier Minds to retain such records for at least seven years. The CCPA does not generally apply to medical information governed by the California Confidentiality of Medical Information Act (CMIA) or protected health information collected by a covered entity or business associate governed by the privacy, security, and breach notification rules of the Health Insurance Portability and Accountability Act (HIPAA) and Health Information Technology for Economic and Clinical Health (HITECH) Act of 2009. Pursuant to Section 1798.83 of the California Civil Code, residents of California have the right to request, once a year, if Healthier Minds have shared their personal information (non medical record data only) with other companies for direct marketing purposes during the preceding calendar year. This is California’s “Shine-the-Light Law.” To request a copy of the information disclosure provided by Healthier Minds, please contact us on HealthierMinds.com at the “contact us” link on the website. Please allow reasonable time for a response. If you are a California resident under the age of 18, and a registered user of any site where this policy is posted, California Business and Professions Code Section 22581 permits you to request and obtain removal of content or information you have publicly posted on our site. Healthier Minds does not have User below the age of 13 and does not typically allow Users to publicly post information. However, if you feel you publicly posted information on the Site and you are between the ages of 13 and 17, please contact us on HealthierMinds.com at the “contact us” link on the website. Please allow reasonable time for a response. Please be aware that such a request does not ensure complete or comprehensive removal of the data/content you have posted and that there may be circumstances in which the law does not require or even allow removal of data, specifically medical data, even if requested. California Right to Know: You may request access to the specific pieces of personal data we have collected about you in the last 12 months. You may also request additional details about our information practices, including the categories of personal data we have collected about you, the sources of such collection, the categories of personal data we share for a business or commercial purpose, and the categories of third parties with whom we share your personal data. You may make these requests by contacting us on HealthierMinds.com at the “contact us” link on the website. Please allow reasonable time for a response. California Designated Agent. You may designate an agent to make a request on your behalf. That agent must have access to your account in order for us to verify the request. California Non-Discrimination. Healthier Minds will never discriminate against you, including by denying or providing a different level of service should you choose to exercise your rights under the CCPA. Privacy in International Use and The GDPR The Healthier Minds Platform advises both its Client/Users and practicing Platform Providers to be aware of and respect and comply with the local laws of any international based Client. Healthier Minds is cognizant and respects the formal promulgation of the existing European Union (EU) data privacy regulations. The General Data Protection Regulation 2016/679 is a regulation in EU law on data protection and privacy for all individuals within the European Union and the European Economic Area. It also addresses the export of personal data outside the EU and EEA and is commonly referred to as “GDPR.” Healthier Minds has always respected our Client’s Privacy (see our Privacy Policy) and we were already a HIPAA certified platform following stringent data privacy rules. The basic tenants of the promulgated GDPR regulations include, but are not limited to the following: Disclosure when you sell, transfer or third party marketing of User’s data: As outlined in this Terms of Use, Healthier Minds does not sell or transfer Client data and any marketing efforts are focused solely on internal information updates to our registered Clients. Access to collected data: At Healthier Minds, you already have the ability to access your shared data (Your personal information, your emergency contact information and all your interactions with your Providers) and use it as you wish. Clear Consent: At Healthier Minds our Terms of Use are clear on what consent we seek with regards to your data and prior to your engagement with your Provider, you review and agree to a further “informed consent” process. Security: At Healthier Minds we have encrypted our data from day one and has always been stored all Private Health Information with full HIPAA compliance and in an anonymized form as required by the GDPR. Notice/Audit: At Healthier Minds, we will provide our Clients notice of any data breach and we employ a full time security Officer, as well as engaging a third party security firm to periodically audit both or code and technology security as well as our HIPAA policies and procedures around data security. Finally, dependent of your EU country or origin, the GDPR takes into account what was previously termed the right “to forget” or request deletion of your data once you cease using a particular application or site. This particular tenant of the GDPR may conflict with applicable medical records retention laws. In the United States, this requires at least seven years of retention, which is common around the world and is sometime up to ten years or more in certain countries. So, unlike some data platforms, Healthier Minds cannot erase private health data directly upon a Client’s request, as it may be considered essential for other medical file retention purposes. Applicable individual country medical retention laws are generally considered an acceptable exception to the GDPR regulations regarding the right to deletion of certain data. Privacy Disputes You will resolve any claim, cause of action or dispute (claim) you have with us arising out of or relating to this Statement or HealthierMinds.com exclusively in a state or federal court located CA. The laws of the State of CA will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions. If anyone brings a claim against us related to your actions, content or information on Healthier Minds.com, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim. Social Networks and Healthier Minds These services allow the web site to access the data on your profile in the social networks, and to interact through your post. These services are not activated automatically, but require express authorization by the User. Healthier Minds Users can share information and Data supplied to this Site with the social networks with which the User is registered, accepting their privacy policy. Facebook social buttons/widgets (Facebook) Facebook Social button is a service run by Facebook Inc., a company that complies with the “Safe Harbor” Privacy Policy Framework initiative, guaranteeing the handling of Personal Data. Twitter is managed by Twitter, a company that complies with the “Safe Harbor” Privacy Policy Framework initiative, guaranteeing the handling of Personal Information. Final Words from Healthier Minds We try to keep HealthierMinds.com safe, but you use it at your own risk. We are providing HealthierMinds.com “As Is” without any express or implied warranties. We do not guarantee that HealthierMinds.com will be safe or secure. HealthierMinds.com is not responsible for the actions, content, information, or data of third parties, and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties. We strive to create a global community with consistent standards for everyone, but we also strive to respect local laws. You consent to having your personal data transferred to and processed in the United States. We keep all information not disclosed above private between the Therapist and the User, keeping only non-decimated “file” copies for reference in case of legal dispute of by court order as we are required to under Federal Laws for period up to seven years or by the applicable State Regulation. File retention protects both the User and the Therapists safety. Healthier Minds is not responsible for data lost/exposed/used due to the nature of the Internet and digital environments, including illegal actions of hackers and criminals, technical malfunctions of servers and database etc. These are the accepted risks of our Users and users of the Internet in general. You are agreeing to this standard in using our site. Healthier Minds reserves the right to amend this Privacy Statement at any time without notice, and only the current Privacy Statement may be deemed effective. Regardless of later updates or changes to our privacy notice, we will never use the information you submit under our current privacy notice in a new way without first providing you an opportunity to opt-out or otherwise prevent that use.

(“Healthier Minds”), Healthier Minds services available through the via the Healthier Minds website (all hereinafter collectively,“ Healthier Minds” and the Healthier Minds “Service(s)”) and any information, text, graphics, photos or other materials uploaded, downloaded or appearing on the Service (collectively referred to as “Content”). By accessing or using the Service, you agree to comply with and to be bound by all of the terms and conditions described in these Terms. If you do not agree to all of these terms and conditions, you are not authorized to use the Service. The terms “You”, “Your,” and “Yourself” refer to the individual user of the Service. You hereby certify that you are (i) over the age of eighteen (18) or have the legal ability to consent to Therapy or have your Parent/Guardian consent to Therapy, and (ii) physically located or are a resident of the State or Country you have chosen as your current residency when creating your Account. You agree to provide “Contact Information” (your personal contact and/or a close family member/relation) to your Provider to act as an information source to be used in case of a mental health crisis or other emergency where knowledge of your location is crucial. You acknowledge that your ability to access and use the Service is conditioned upon the truthfulness of the information you provide regarding your age, residence and Contact Information and that the Providers you access (“Provider(s)”) are relying upon this certification in order to interact with you and provide the Services. Site Content Other than the guidance and advice you receive directly by you from your licensed Provider, the other educational, graphics, research sources and other incidental information on the Site, the Content, should not be considered medical advice. You should always talk to an appropriately qualified health care professional for diagnosis and treatment, including information regarding which medications or treatment may be appropriate for you. None of the Content represents or warrants that any particular medication or treatment is safe, appropriate, or effective for you. Healthier Minds does not endorse any specific tests, medications, products or procedures. Account Enrollment To access the Services, you must first enroll to establish an individual user account (“Account”), by providing certain information. You agree that you will not create more than one Account, or create an Account for anyone other than yourself without first receiving permission from the other person. In exchange for your use of the Service and, if applicable, in order for providers to send notices to you, you agree to: (i)provide true, accurate, current and complete information about yourself as prompted by our Account enrollment form (understanding you may use an anonymous user name or nickname after you provide certain personal and emergency Contact Information); and (ii) each time you log on, maintain and promptly update such Account information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Healthier Minds has reasonable grounds to suspect that such Account information is untrue, inaccurate, not current or incomplete, Healthier Minds reserves the right to transition your treatment to another Provider outside of Healthier Minds and refuse any future request(s) to use the Healthier Minds Services. You shall at all times remain responsible for maintaining the confidentiality of your Account password and username (if any) and any other security information related to your Account. Healthier Minds will not be liable for any loss that you incur as a result of someone else accessing and using your Account, either with or without your knowledge. Accounts Accessed through Employer Assistance Programs (EAP(s)) or other Network Benefit Programs In addition to the registration described above, access to the Services through an EAP or an Employer sponsored benefit plan or other insurance backed plans may require you to provide additional registration information. This information is collected to confirm your eligibility with the EAP or network benefit administrator and is not shared with your Provider (who will collect your contact information separately). Further, your Employer or the Employer of the subscriber of your benefits will not be provided this information (you likely already gave them similar information in your employee file unless you are a family member of an eligible employee) and your employer will not be told you or your family member are using the Services unless such information is shared by you or part of a pre-arranged special program. Information collected under these circumstances will include but not be limited to: First Name Last Name Email Date of Birth Phone number Who you are (employee or the spouse, domestic partner, or dependent of an employee in certain programs) Employer’s name This information is required to confirm program or benefit eligibility, your specific benefits, and to prevent insurance and benefit fraud. Acceptable Use You agree not to access or use the Service in an unlawful way or for an unlawful or illegitimate purpose or in any manner that contravenes these terms. You shall not post, use, store or transmit(i) a message or information under a false name; (ii) information that is unlawful, libelous, defamatory, obscene, fraudulent, predatory of minors, harassing, threatening or hateful to any person; or (iii) information that infringes or violates any of the intellectual property rights of others or the privacy or publicity rights of others. You shall not attempt to disrupt the operation of the Service by any method, including through use of viruses, Trojan horses, worms, time bombs, denial of service attacks, flooding or spamming. You shall not use the Service in any manner that could damage, disable or impair the Service. You shall not attempt to gain unauthorized access to any user accounts or computer systems or networks, through hacking, password mining or any other means. You shall not use any robot, scraper or other means to access the Service for any purpose. Neither Healthier Minds nor its affiliates are under any obligation to respond to messages posted on the Service. You are solely responsible for the information or material you post on the Service. The following terms apply to any App accessed through or downloaded from any source (such as the Apple App Store or other similar platforms) where the App is made available (each such distribution platform an “App Provider”). You acknowledge and agree that: these Terms are between you and Healthier Minds, and not with the App Provider, and that Healthier Minds (not the App Provider), is solely responsible for the App; and the App Provider has no obligation to furnish any maintenance and support services with respect to the App claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Healthier Minds. If you download the App, such as a stand-alone software product or a browser plugin, you agree that from time to time, the software may require that you download upgrades, updates and additional features we publish in order to improve, enhance, and further develop the software, Service, or App. The Service may change from time to time and/or Healthier Minds may stop (permanently or temporarily) providing the Service (or features within the Service), possibly without prior notice to you. Payment Any payment you make for the use of the Services is used to compensate Healthier Minds for its software development, overhead, administrative services and other corporate costs and fees, including transaction fees for credit card usage. The Healthier Minds Network Providers practicing through the Platform also compensate for the use of the Healthier Minds technology and for administrative fees. Part of your payment for the use of the Services, accounted for separately, is remitted to the Provider for the direct clinical services provided to you. Healthier Minds does not participate, split, or take a percentage of this payment to the Provider. Regardless of any payments made, Healthier Minds does not hold itself out as your direct provider of therapy services as that is the role of your licensed, network accredited Provider. You agree to pay all fees and charges associated with your Account on a timely basis in accordance with the fee schedule, and the terms and rates published by Healthier Minds from time to time. Such fees and charges (including any taxes and late fees, as applicable) may be charged to the credit card you provided during the initial setup of your Account. You agree to maintain valid credit card information in your Account. By providing Healthier Minds with credit card information you authorize Healthier Minds to bill and charge your credit card. If you access the Services through a EAP or an Employer sponsored benefit plan or other insurance backed plan, your payment will be arranged by a third party “Payor” which is a third party that administers or insures the benefit program you are a member of through your employer. In this instance, you may still be responsible for co-payment or payment for additional services which are explained in your benefit program. If you are accessing Healthier Minds provided Psychiatry Services, then you may interface with our prescription provider who will provide you with separate payment information. Providers Healthier Minds does not directly employ the Providers matched through the Service. Healthier Minds created a modern, digital health network of nationwide digitally trained and accredited Providers. The Healthier Minds Network only works with independent, licensed, insured and vetted professional Providers. Healthier Minds has business relationships with many of the largest Healthcare Plans in the Country and as such, Healthier Minds enforces “NCQA” standards. The National Committee for Quality Assurance (NCQA) is an independent 501(c)(3) nonprofit organization in the United States that works to improve health-care quality through the administration of evidence-based standards, measures, programs, and accreditation. The National Committee for Quality Assurance operates on a formula of measure, analyze, and improve and it aims to build consensus across the industry by working with policymakers, employers, doctors, and patients, as well as health plans. The result is that the Healthier Minds Network employs the highest accreditation standard in the US, one widely used by most healthcare organizations. In order to receive approval to practice using the Healthier Minds Network, the applying Provider must be found to be in compliance with the policies and procedures of Healthier Minds, National Committee for Quality Assurance (NCQA), Managed Behavioral Healthcare Organization (MBHO) standards, federal and state guidelines, and must receive written approval from Healthier Minds. This verification process includes, but is not limited to: Verification of licensure. The practitioner holds a valid, current license to practice which is verified directly from the state license agency. Verification of DEA or CDS certificate for participating Network psychiatrists who can prescribe to Clients under the Healthier Minds collaborative care referral program. Verification of proper education and degree. Verification of board certification for practitioners that state they are board certified. Verification of a minimum of 3-5 years work history and confirmation that the Provider can practice independently at the highest applicable state level of licensure. Verification of malpractice insurance. A copy of the current malpractice coverage that shows the dates and amounts of coverage obtained from the malpractice insurance carrier or the practitioner. Verification of malpractice history. This is completed by collecting five years of history of malpractice settlements from the malpractice carrier or through query to National Practitioner Data Bank (NPDB). Verification of any applicable specialized training. Written verification is needed for the completion of any specialized training the practitioner has received from the school or training program that provided the training. Verification of any Medicare and Medicaid sanctions. Your relationship with the Provider is strictly with the Provider. Healthier Minds is not involved in the Provider-patient relationship and does not interfere, validate or control the Provider’s treatment unless advocating on behalf of You when following up on a particular complaint. Healthier Minds has created a national accredited network and employs the most advanced data science available to offer the Healthier Minds Network Provider the best digital tools to practice Healthier Minds conducts constant Network quality assurance checks using advanced analytical tools to study such critical issues as Provider availability, response times, and the number and duration of therapeutic interactions. All that stated, You are always advised to exercise a high level of care and caution in the use of Healthier Minds Network of Providers as you would making any mental health or medical decision. You should never disregard, avoid, or delay obtaining medical advice from your primary doctor or other qualified healthcare Provider or by using or combining Healthier Minds with traditional face-to-face appointments; solely because of information you saw on the Healthier Minds site or advice you received through a Healthier Minds Network Provider. Healthier Minds supports a holistic approach to mental health and the choices You have to create the best therapeutic journey that matches your individual needs. Intellectual Property All of the content available on or through the Service is the property of Healthier Minds or its licensors and is protected by copyright, trademark, patent, trade secret and other intellectual property law. You agree not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate the content received through the Service to any third party. All software and accompanying documentation made available for download from the Service is the copyrighted work of Healthier Minds or its licensors. Any copy made of information obtained through the Service must include all applicable copyright notices. “Healthier Minds” are copyrighted terms. All rights reserved. Subject to the terms of this Agreement, Healthier Minds hereby grants you a limited, revocable, non transferable and nonexclusive license to use the software, network facilities, content and documentation on and in the Service to the extent, and only to the extent, necessary to access and use the Service. The license granted herein does not permit you to, and you agree not to: (i) modify, translate, reverse engineer, disassemble, decompile or create derivative works of the Service or allow a third party, whether directly or indirectly (including, but not limited to the direct or indirect use of wizards, agents, bots, or other utilities), to modify, translate, reverse engineer, disassemble, decompile or create derivative works of the Service; or (ii) transfer, distribute, sell, lease, rent, disclose or provide access to the Service to any third party or use the Service to provide service bureau, time sharing or other services to third parties. Disclaimers ACCESS TO THE SERVICE AND THE INFORMATION CONTAINED THEREIN IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. HEALTHIER MINDS CANNOT AND DOES NOT ASSUME ANY RESPONSIBILITY FOR ANY LOSS, DAMAGES OR LIABILITIES ARISING FROM THE FAILURE OF ANY TELECOMMUNICATIONS INFRASTRUCTURE, OR THE INTERNET, OR FOR YOUR MISUSE OF ANY PROTECTED HEALTH INFORMATION, ADVICE, IDEAS, INFORMATION, INSTRUCTIONS OR GUIDELINES ACCESSED THROUGH THE SERVICE. Limitations of Liability IN THE EVENT OF ANY PROBLEM WITH THE SERVICE OR ANY OF ITS CONTENT, YOU AGREE THAT YOUR SOLE REMEDY IS TO CEASE USING THE SERVICE. UNDER NO CIRCUMSTANCES SHALL HEALTHIER MINDS, ANY HEALTHIER MINDS LICENSOR OR SUPPLIER, OR ANY THIRD PARTY WHO PROMOTES THE SERVICE OR PROVIDES YOU WITH A LINK TO THE SERVICE BE LIABLE IN ANY WAY FOR YOUR USE OF THE SERVICE OR ANY OF ITS CONTENT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANYCONTENT, ANY INFRINGEMENT BY ANY CONTENT OF THE INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS OF THIRD PARTIES, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT. UNDER NO CIRCUMSTANCES SHALL HEALTHIER MINDS, ITS LICENSORS OR SUPPLIERS OF NONMEDICAL/ MENTAL HEALTHCARE SERVICES OR ANY THIRD PARTY WHO PROMOTES THE SERVICE OR PROVIDES YOU WITH A LINK TO THE SERVICE, BE LIABLE FOR ANY PUNITIVE, EXEMPLARY, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY PERSONAL INJURY, LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR COMPUTER OR OTHERWISE) ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER UNDER A THEORY OF BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, MALPRACTICE OR OTHERWISE, EVEN IF HEALTHIER MINDS OR THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you. Hyperlinks Any link (including a hyperlink, button or referral device of any kind) used in the Service is provided for your use and convenience. The appearance of a link does not constitute an endorsement, recommendation or certification by Healthier Minds, nor should the presence of a link in any way be construed as a suggestion that any third party website has any relationship to Healthier Minds. Healthier Minds does not endorse the content on any third-party websites. Healthier Minds is not responsible for the content of linked third-party websites or third-party advertisements, and does not make any representations regarding its content or accuracy. Healthier Minds does not knowingly link to websites that may infringe on valid and existing trademarks, service marks, copyrights or patents. Your use of third-party websites is at your own risk and subject to the terms and conditions of use for such websites. International Use and The GDPR The Healthier Minds Platform advises both its Client/Users and practicing Platform Providers to be aware of and respect and comply with the local laws of any international based Client. Healthier Minds is cognizant and respects the formal promulgation of the existing European Union (EU) data privacy regulations. The General Data Protection Regulation 2016/679 is a regulation in EU law on data protection and privacy for all individuals within the European Union and the European Economic Area. It also addresses the export of personal data outside the EU and EEA and is commonly referred to as “GDPR.” Healthier Minds has always respected our Client’s Privacy (see our Privacy Policy) and we were already a HIPAA certified platform following stringent data privacy rules. The basic tenants of the promulgated GDPR regulations include, but are not limited to the following: Disclosure when you sell, transfer or third party marketing of User’s data: As outlined in this Terms of Use, Healthier Minds does not sell or transfer Client data and any marketing efforts are focused solely on internal information updates to our registered Clients. Access to collected data: At Healthier Minds, you already have the ability to access your shared data (Your personal information, your emergency contact information and all your interactions with your Providers) and use it as you wish. Clear Consent: At Healthier Minds our Terms of Use are clear on what consent we seek with regards to your data and prior to your engagement with your Provider, you review and agree to a further “informed consent” process. Security: At Healthier Minds we have encrypted our data from day one and has always been stored all Private Health Information with full HIPAA compliance and in an anonymized form as required by the GDPR. Notice/Audit: At Healthier Minds, we will provide our Clients notice of any data breach and we employ a full time security Officer, as well as engaging a third party security firm to periodically audit both or code and technology security as well as our HIPAA policies and procedures around data security. Finally, dependent of your EU country or origin, the GDPR takes into account what was previously termed the right “to forget” or request deletion of your data once you cease using a particular application or site. This particular tenant of the GDPR may conflict with applicable medical records retention laws. In the United States, this requires at least seven years of retention, which is common around the world and is sometime up to ten years or more in certain countries. So, unlike some data platforms, Healthier Minds cannot erase private health data directly upon a Client’s request, as it may be considered essential for other medical file retention purposes. Applicable individual country medical retention laws are generally considered an acceptable exception to the GDPR regulations regarding the right to deletion of certain data. Termination Healthier Minds may suspend or terminate your access to the Service at any time, for any reason or for no reason at all. Healthier Minds has the right (but not the obligation) to refuse to provide access to the Service to any person, agency or organization at any time, for any reason or for no reason at all, in our sole discretion. Healthier Minds reserves the right to change, suspend, or discontinue all or part of the Service, temporarily or permanently, without prior notice. Privacy You affirmatively consent to the fact that Healthier Minds Clinical Oversight Personnel will, as needed, review your particular “Session Transcripts” or “Rooms” in a HIPAA/HITECH approved deidentified form for the following purposes: During your on-boarding and during the Provider matching process to ascertain you are able to successfully engage with the Provider. This access to only de-identified information may be accomplished using a Healthier Minds on-boarding specialist and not a Provider; To review your complaint about a particular issue/instance that your report about your Provider or about a particular language intention with your Provider; For your safety concerns or complaints of unethical Provider practices; To transition you to a new Provider or if your account is non responsive or inactive for an extended period of time; or To address raised quality assurance concern(s) that may apply to an individual Provider, a statewide compliance issue or a national network issue. You consent to Healthier Minds using “Meta Data” and other search terms to scan only HIPAA ‘Safe Harbor” de-identified transcripts to search for trends and patterns that may affect the quality of the Services provided to you or the practices of the Providers. If your particular complaint requires a review of Session Transcripts in the original form, you consent to a Healthier Minds Licensed Oversight Provider accessing your account only to respond to your particular complaint or raised issue. Your Consent to Healthier Minds recording your calls to Customer Service to assure Quality Assurance. You affirmatively grant Healthier Minds permission to have your Provider periodically provide noncontent based clinical assessments of your progress to Healthier Minds. You understand that Healthier Minds provides the Providers with clinical assessment tools that serve to provide information on your mental health and well-being; and that results can be seen by your Provider to discuss with you. All de-identified data, meta-data and research data collected by Healthier Minds through your use of the Services remains the sole property of Healthier Minds. Healthier Mindsmay share some or all of this research data with third parties in connection with joint or outside research, analytics, or similar purposes. Research data is used in non identifiable aggregate form, that is, as a statistical measure, but not in a manner that would identify you personally. You shall not request that Healthier Minds remove or delete any of such data. You agree that the email username you provide can be used by Healthier Minds to send you marketing offers from Healthier Minds. You acknowledge that Healthier Minds must store all personal data as required by law, typically for no less than seven (7) years, and may not delete such medical records data, even upon your direct request. Special Programs From time to time Healthier Minds offers free programs to its Clients. These include, but are not limited to topics related sexual assault LGTB issues, PTSD and other specific issues. These programs are limited to a certain number of individuals and chosen conditions for which you may not qualify. Your participation in these programs is voluntary and separate agreements and waiver forms may be required. Healthier Minds participates in research studies with select universities. You may be offered the opportunity to participate in these studies. These studies may include separate agreement forms, waivers and confidentiality terms that you will have to review and accept separate from these Terms. Disputes Any dispute or claim relating in any way to your use of the Healthier Minds Service will be resolved by binding confidential arbitration, rather than in court. The Federal Arbitration Act and federal arbitration law apply to these Terms. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must interpret these Terms as a court would. It is agreed that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration, Healthier Minds and you each waive any right to a jury trial. It is further agreed that you may not bring suit in court to enjoin infringement or other misuse of intellectual property rights. General These Terms are governed by the laws of the State of CA, without regard to any conflict of laws rules or principles. You agree to submit to the venue and jurisdiction of the LA courts in the cases that arbitration is not successful or is assigned or appealed to a civil court. Healthier Minds failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Notices required to be given to you by Healthier Minds may be delivered by electronic mail to the address provided during the creation of your Account. These Terms constitute the entire Agreement between Healthier Minds and yourself regarding the Service, and supersede and replace any prior agreements you and Healthier Minds might have regarding the Service. Healthier Minds may revise these Terms from time to time without notice to you. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. We encourage you to read the stems periodically.
